Terms and Use

The Vignetim Group or Vignetim, that's us, is comprised of the following entities:

• Montarist Bilişim Yazılım Proje Danışmanlık İhracat İthalat ve Ticaret Limited Şirketi, a company duly incorporated under the laws of the Republic of Turkiye, having its registered office at Yeni Bağlıca Mah. 1023 Sok. No: 12-B Etimesgut/ Ankara/ Türkiye.
• Vignetim Technology BV, a private limited company incorporated under the laws of Netherlands, and having its registered office at Geldropstraat 5, 1324WT Almere NL.

Whenever we say "us" or "we," we mean the Vignetim. Whenever we say "you," we are referring to a "User" or "Customer" of our services. Together, these entities form the backbone of our operations, ensuring seamless access to digital vignette and toll payment solutions across Europe.

These Terms of Use (the "Terms") constitute a binding agreement between Vignetim, and each user ("You" or "User").

These Terms govern the access to and use of Vignetim's digital platform, which provides services to facilitate the purchase and management of digital vignettes and toll payments for various European countries. The platform can be accessed via the official website (https://www.vignetim.com) and associated mobile and web applications (collectively, the "Vignetim Platform").

By accessing or using the Vignetim Platform, You signify that You have read, understood, and agreed to be bound by these Terms, including Our Privacy Policy, which is incorporated herein by reference. If You do not agree to these Terms, You are not authorized to access or use the Vignetim Platform or the services provided therein.

The Vignetim Platform provides a comprehensive range of digital services ("Services") to assist users in managing their toll payment, digital vignette, and eSIM connectivity requirements across various European countries. By accessing the Vignetim Platform, You agree to use these Services in compliance with the Terms outlined in this document. Certain services offered through the Vignetim Platform, including eSIM connectivity, are provided in collaboration with third-party partners. While Vignetim facilitates access to these services, the provision and quality of such services are subject to the terms and conditions of the respective providers.

Through the Vignetim Platform, which includes both our website (https://www.vignetim.com) and mobile applications available on the Apple App Store and Google Play Store, we offer the following Services:

Digital Vignette Services

• Browsing and Purchase: Users can browse and select digital vignettes tailored to their travel needs and country-specific toll regulations. The Platform facilitates requests to purchase vignettes on the user's behalf for designated European countries.
• Country Selection and Compliance: The Platform allows users to choose the European country where the vignette is required, ensuring compliance with local toll regulations.
• Notification and Reminder System: Vignetim offers optional notifications to remind users about necessary or upcoming vignette purchases based on their travel plans.
• Access to Purchased Vignettes: Users can download and store digital copies of purchased vignettes through the Vignetim Platform.
• Management of Vignettes: Users may add and manage details of previously purchased vignettes, keeping all toll-related information organized in one place.

eSIM Services

• eSIM Browsing and Activation: Users can explore and select eSIM plans compatible with their travel destinations, ensuring seamless connectivity.
• Instant Activation: The Platform supports the instant activation of selected eSIMs directly through the application, eliminating the need for physical SIM cards.
• Plan Management: Users can monitor and manage their eSIM data plans, including checking usage and purchasing additional data if necessary.
• Country-Specific Offers: Tailored eSIM packages for various European countries are available, ensuring users have access to localized and cost-effective connectivity options.

Personalized Account Features

The Platform enables users to create a personalized account, streamlining purchases, saving preferences, and securely storing transaction history.

• While we strive to provide accurate and up-to-date information regarding vignettes and toll requirements, certain data is sourced from third-party providers, and we cannot guarantee its absolute accuracy.
• The Vignetim Platform is designed to work on a wide range of devices; however, compatibility cannot be ensured for all systems or devices.
• We reserve the right to modify or discontinue certain functionalities of the Vignetim Platform without prior notice, as deemed necessary for operational or legal reasons.

Eligibility and Registration Requirements

For Users under the age of eighteen (18), the use of the Vignetim Platform is permitted only under the supervision and with the consent of a parent or legal guardian. The parent or legal guardian must agree to these Terms on behalf of the minor. Users under eighteen (18) without such supervision and consent are strictly prohibited from using the Vignetim Platform. If You are a parent or legal guardian who believes a minor has accessed the platform without Your approval, please contact Us immediately.

Registration and the creation of a customer account are mandatory to place orders. Users must provide complete and accurate information during registration ("Contract Data"). Inaccurate or incomplete data may result in service restrictions or account suspension.

Verification and Account Management

• Users can review and modify their Contract Data before submission and must update any changes promptly. The user assures that no third-party data has been used.
• Upon successful registration, users receive a confirmation email and an initial password, which they are required to change upon first login for security reasons.

Account Security

• Users must keep their account credentials confidential and not disclose them to third parties. We recommend using a unique and strong password distinct from those used on other platforms. Ensure you log out at the end of each session to maintain account security.
• Users are responsible for any activity conducted under their account. In case of suspected misuse, users must immediately change their password and notify Customer Support.
• You are responsible for maintaining the accuracy and confidentiality of your Basic User Information. All activities conducted under your account are your responsibility, including those by individuals to whom you have provided your account details. We are not liable for any loss or damage resulting from your failure to provide accurate information or secure your account.

Usage Limitations

The Vignetim Platform is intended for personal use only. Unauthorized, fraudulent, or commercial use of the Platform is strictly prohibited. If you detect any unauthorized use of your account or suspect a security breach, promptly change your password and notify our Customer Support team.

Inactive Accounts

Vignetim reserves the right to delete inactive customer accounts after an extended period of inactivity. Users will be notified in advance and given the opportunity to reactivate their account to prevent deletion.

Costs and Responsibilities

Users are responsible for any costs associated with accessing the Services, such as internet or mobile data fees.

Responsibility for Independent Research

It is the User's sole responsibility to independently verify the requirements, conditions, and usage rules for digital vignettes in the travel country. Official information published by the respective travel authority serves as the only binding source of guidance. The information provided on the Vignetim Platform or in related materials is intended solely as an initial guide and does not guarantee completeness or accuracy. Users are encouraged to consult the official website of the relevant authority in the chosen European country for the latest requirements.

Processing of Digital Vignette Applications

• Vignetim acts as a facilitator to submit applications for digital vignettes and toll tickets to the respective national authorities in the chosen country.
• The processing of such applications is solely the responsibility of the national authorities. Vignetim does not have control over, nor does it assume liability for, delays caused by public holidays or unforeseen circumstances affecting the authorities.
• Processing times displayed on the Vignetim Platform are based on information provided by the respective national authorities. Vignetim does not guarantee these timeframes or assume liability for delays.

Delivery and Usage of Digital Vignettes

• Once a digital vignette or toll ticket is issued by the responsible authority, it will be accessible via the Vignetim Platform in both digital format and as a downloadable document.
• The validity period of the digital vignette is specified within the document and on the Platform. The vignette is linked to the vehicle's license plate as provided by the User during the ordering process.

Malfunction, Theft, or Loss of Vignettes

• A malfunction, theft, loss, or destruction of a digital vignette or toll ticket does not release the user from their obligation to pay tolls as required by the applicable toll operator's regulations.
• In such cases, the user must follow the procedures outlined in the toll operator's operating regulations and utilize any alternative methods provided by the operator, such as manual toll collection or alternative payment systems.
• Failure to comply with these procedures is solely at the expense and risk of the user.

Claims for Damages

Vignetim reserves the right to assert claims for damages resulting from a user's failure to comply with the toll operator's regulations or any misuse of vignettes or toll tickets.

Other Responsibilities

• Users must ensure that all information provided, including the vehicle registration license plate and country. The vehicle's brand, model, color, fuel type, class type, VIN number, driver's name-surname, passport number and passport country is accurate. Vignetim is not liable for errors resulting from incorrect data provided by the User.
• Digital vignettes and toll tickets must be purchased prior to entering toll roads. Vignettes purchased after entry will not be retroactively valid.
• For the use of digital vignettes and toll tickets in the respective toll areas, the regulations and conditions of the applicable toll operator shall apply. These regulations are accessible on the Vignetim Platform within the relevant product descriptions.
• The user is solely responsible for ensuring compliance with these regulations and may be held liable by the toll operator for any violations. Users are also responsible for ensuring that their authorized representatives or agents comply with these regulations in accordance with applicable statutory provisions.
• Users are financially liable for all transactions made through their accounts, including any losses incurred by Vignetim due to the user's breach of these Terms or misuse of the Vignetim Platform.
• This includes instances where a user intentionally allows another party to use their account to make purchases.
• While browsing the Vignetim Platform is available without registration, certain functionalities—such as utilizing our mobile applications, placing orders, or accessing personalized services—require the creation of a User account. You must provide accurate and complete information during registration, referred to as your "Basic User Information."
• Users are responsible for ensuring that their devices are compatible with eSIM technology and support the eSIM services offered. Vignetim shall not be liable for any issues arising from device incompatibility or improper user configurations.
• Vignetim reserves the right to terminate eSIM services without prior notice in cases of misuse, fraudulent activity, or violations of our terms and conditions. Users may also request service termination, subject to Airalo's policies.

Each payment you make comprises the following:

• Ticket Price: The fee set by local authorities for issuing the digital vignette or toll ticket.
• Service Fee: Our charge for facilitating the acquisition of the digital vignette on your behalf.
• Payment Gateway Fee: Fees charged by the payment processing service.
• Optional Fees: Additional charges for optional services you may select, including:
  • Flex Service Fee: This allows cancellation up to six (6) hours prior to the vignette's validity start time. If canceled within this time frame, the total price of the vignette (excluding the Flex Fee) will be refunded.
  • Reminder Notification Fee: An optional fee for receiving a high-priority notification regarding pending vignette purchases.
  • SMS Confirmation Fee: An additional fee to receive purchase confirmations via SMS.
  • SMS Reminder Fee: A fee for receiving SMS reminders about tickets' start and end date or necessary updates.
  • Express (Urgent) Processing Fee: Ensures delivery of your ticket within 15 minutes of purchase, facilitating prompt readiness for your journey.
  • E-Sim Fee: The cost associated with the purchase and activation of eSIM services is determined by our third-party provider. This fee is included in the total price displayed on the Vignetim Platform.

All these components are included in the total price displayed on the Vignetim Platform, inclusive of VAT, except for optional fees which are clearly itemized during the checkout process.

• Vignetim facilitates the purchase of vignettes on behalf of users, but does not set or control the official prices of these vignettes. All vignette prices are determined by the respective official toll operators and are subject to change according to applicable laws and regulations. Therefore, Vignetim is not responsible for any price changes implemented by these authorities. Users acknowledge that the prices in effect at the time of automatic re-registration may differ from future official vignette prices.
• By confirming a purchase, you authorize us to charge the applicable fees to the payment method selected.
• Payments are processed at the time of purchase confirmation.
• Payments can be made directly through the integrated payment form on the Vignetim Platform. Payments for services offered through the Vignetim Platform may be processed by either Vignetim Teknoloji ve Ticaret A.S. or Vignetim Technology BV, depending on the specific service and user location. All vignette-related operations, including procurement and management, are conducted exclusively by Vignetim Teknoloji ve Ticaret A.S.
• Accurate payment details must be provided, and the specified amount will be charged as a one-time payment.
• Tax rates are determined based on the country of the selling entity. For services sold through Vignetim Technology BV (Netherlands), Netherlands VAT rates apply. For services sold through Montarist, Turkish VAT rates apply. Prices stated in offers include the applicable VAT.
• Prices are subject to change and may contain typographical errors. Vignetim is not liable for consequences arising from such errors and is not obligated to honor incorrect pricing.

• Once a digital vignette is purchased through the Vignetim Platform, it is immediately registered with the respective public authority's system, and payment is forwarded to the authority. Under consumer legislation, vignettes aren't subject to the right of withdrawal. That means there's no 14-day "cooling-off period" for bookings made on our website or app As a result, cancellations and refunds are generally not possible after the vignette has been registered.
• Users who opt for the Flex Package at the time of purchase may cancel their vignette up to six (6) hours prior to its validity start time.
• In such cases, the main ticket price will be refunded, excluding the Flex Package fee and other service fees.
• If a technical error occurs that is not attributable to the user (e.g., incorrect vignette issuance due to system malfunction), users may cancel their purchase and request a full refund.
• Optional service fees, such as those for urgent reminders, SMS confirmations, or SMS reminders, are non-refundable under all circumstances.
• Refund requests must be submitted through the Vignetim Platform or by contacting customer support via online chat or contact email.
• Requests related to technical errors must be accompanied by sufficient documentation or evidence of the error.
• Vignetim reserves the right to deny refund or cancellation requests if there is evidence or reasonable suspicion of fraudulent activity or abuse of the system.
• This refund and cancellation policy complies with the applicable EU consumer protection regulations. Users retain their statutory rights to a refund in cases where these laws apply.

• Vignetim acts as a facilitator for the purchase of digital vignettes on behalf of users. The issuance and validity of the digital vignette are the sole responsibility of the respective public authorities.
• Vignetim is only responsible for the proper operation of the Vignetim Platform and the facilitation of vignette purchases as outlined in these Terms.
• Vignetim is not liable for any loss or damage that is not foreseeable. Loss or damage is considered foreseeable if it is either obvious that it will happen or if, at the time the contract was made, both Vignetim and the user knew it might occur.
• Vignetim is not responsible for:
  • Losses or damages unrelated to the Vignetim Platform or services provided.
  • Delays or errors caused by the respective public authorities or payment service providers.
  • Costs arising from the user's failure to comply with national toll regulations or vignette usage requirements.
• Nothing in these Terms shall limit or exclude Vignetim's liability for:
  • Death or personal injury caused by negligence.
  • Fraud or fraudulent misrepresentation by Vignetim, its employees, or agents.
• Vignetim relies on third-party payment providers and public authorities for the fulfillment of services. Vignetim is not liable for disruptions, errors, or delays caused by these third parties.
• The information provided on the Vignetim Platform is intended as an initial guide. Vignetim does not guarantee the accuracy, completeness, or timeliness of this information. Users are responsible for verifying the requirements and validity of their vignettes directly with the respective authorities. Once a transaction is completed and recorded in the system, no changes can be made.
• Vignetim acts as an authorized reseller of eSIM services provided by Airalo. While we facilitate the purchase and activation of eSIMs, the underlying connectivity services are managed by Airalo. Vignetim is responsible for processing your orders and providing customer support related to the purchase process. However, we are not liable for service performance issues, network outages, or other technical problems directly related to the eSIM services provided by Airalo. For such issues, please refer to Airalo's terms of service and support channels.

App Stores

If you download the Vignetim mobile applications from a third-party platform, such as the Apple App Store or Google Play Store (each, an "App Store"), your use of the application is subject to the respective terms and conditions of that App Store. This includes, for example, the Apple Inc. Device and Application Terms for the Apple App Store. Your license to use the Vignetim application is conditioned upon your compliance with such App Store terms and conditions. To the extent that the App Store's terms and conditions are less restrictive than, or otherwise conflict with, the terms of this Agreement, the terms of this Agreement shall apply.

Apple-Enabled Product Terms

If you use the Vignetim mobile application on a device sold by Apple Inc. ("Apple"), the following additional terms and conditions apply to the use of the application ("Apple-Enabled Software"):

Relationship with Apple

This Agreement is between Vignetim and you only, and not with Apple. As between Vignetim and Apple, Vignetim is solely responsible for the Apple-Enabled Software and its content.

Compliance with Usage Rules

You agree to use the Apple-Enabled Software only as permitted by the Usage Rules set forth in the Apple App Store Terms of Service.

License Scope

Your license to use the Apple-Enabled Software is non-transferable and limited to use on an iOS device that you own or control, as allowed by the Usage Rules of the App Store Terms of Service.

Maintenance and Support

Apple is not responsible for providing any maintenance or support services for the Apple-Enabled Software.

Warranty Disclaimer

Apple disclaims all warranties for the Apple-Enabled Software. In case of a failure to meet any applicable warranty, you may notify Apple for a refund of the purchase price, if any. Vignetim is solely responsible for addressing warranty claims, to the extent they cannot be disclaimed under applicable law.

Claims and Liability

Vignetim, not Apple, is responsible for handling any claims related to the Apple-Enabled Software, including but not limited to:

• Product liability claims.
• Claims of non-compliance with legal or regulatory requirements.
• Claims arising under consumer protection or similar legislation.

Intellectual Property Infringement

Vignetim, not Apple, is solely responsible for investigating, defending, settling, and resolving any claims that the Apple-Enabled Software infringes on a third party's intellectual property rights.

Export Compliance

You represent and warrant that:

• You are not in a country subject to a United Nation, European Union, Turkiye or U.S. Government, embargo or designated as a "terrorist-supporting" country.
• You are not listed on any United Nation, European Union, Turkiye or U.S. Government list of prohibited or restricted parties.

Support and Complaints

Any questions, complaints, or claims related to the Apple-Enabled Software should be directed to Vignetim support by sending an email.

Third Party Beneficiary

You acknowledge that Apple and its subsidiaries are third-party beneficiaries of this Agreement concerning the Apple-Enabled Software. Upon your acceptance of this Agreement, Apple has the right to enforce its terms as a third-party beneficiary.

Use of Third-Party Services

The Vignetim Platform may include links to third-party websites, services, or content, as well as recommendations for third-party providers. While we aim to partner with reliable and high-quality third parties, you acknowledge and agree that:

• Vignetim is not responsible for the performance, accuracy, or availability of any third-party websites, content, services, or products.
• Vignetim does not control or endorse third-party content, materials, or services and is not liable for any loss or damage caused by your use of or reliance on such content or services.
• Any transactions, communications, or engagements between you and a third-party provider are solely between you and the third party, and Vignetim is not responsible for disputes or claims arising from such interactions.

Special Clauses for E-Sim Services

Our platform collaborates with third-party providers to deliver eSIM services. We are not obligated to inform customers about the specific partners we engage with for service provision. By utilizing our services, customers agree to comply with the terms and conditions of these third-party providers. Our primary eSIM partner is Airalo, and their Terms and Conditions can be found here: Airalo Terms & Conditions.

Responsibility Disclaimer

• Vignetim relies on third-party service providers for the fulfillment of certain services, including payment processing and public authority systems for vignette issuance.
• Vignetim is not responsible for delays, errors, or disruptions caused by these third parties and disclaims liability for any issues arising from their actions or inactions.

Review of Third-Party Terms

• Users are responsible for reviewing and agreeing to the terms and conditions, including privacy policies, of any third-party service or product they engage with through the Vignetim Platform.
• Your dealings with any third party are governed by their terms and conditions, not by this Agreement or Vignetim's Privacy Policy.

Feedback on Third Parties

• Vignetim values user feedback regarding third-party services and content. If you experience issues or have concerns about a third party featured on the Vignetim Platform, please contact us.
• Your input may be used to assess whether to continue partnerships with specific third-party providers.

• Access to the Vignetim Platform, including our web and mobile applications, does not grant you any intellectual property rights over the Platform or its content, except for the right to use them in accordance with these Terms.
• All rights, titles, and interests in the Vignetim Platform, including its software, design, trademarks, logos, and other intellectual property, are owned by Vignetim or its licensors. These rights are protected by copyright, trademark, patent, trade secret, and other applicable laws and treaties.
• You are prohibited from copying, reproducing, modifying, transmitting, publishing, or distributing any part of the Vignetim Platform or its content without prior written permission from Vignetim.
• You agree not to:
  • Modify, create derivative works of, decompile, reverse engineer, or attempt to extract source code from the Vignetim software unless expressly permitted by law or with Vignetim's written consent.
  • Use Vignetim's trademarks, logos, or service marks without explicit authorization.
  • Use any content from the Vignetim Platform for commercial purposes without prior approval.

Third-Party Intellectual Property

Trademarks, service marks, and trade names appearing on the Vignetim Platform that are not owned by Vignetim are the property of their respective owners. Their use is subject to the owners' terms and conditions.

Infringement and Violations

• Unauthorized use of the Vignetim Platform or any intellectual property therein may result in legal action, including but not limited to infringement claims.
• If you believe your intellectual property rights have been violated on the Vignetim Platform, please contact our support team to report the issue.

Users can submit complaints in English using the following methods:

Webform Submission

Use the designated webform available on the Vignetim Platform. Provide as much detail as possible to ensure your complaint is directed to the appropriate team.

Required details include:

• Your identification:
  • Full name
  • Email address
• Information about the transaction:
  • Purchase date
  • Travel date (if applicable)
  • Country of vignette/toll use (if applicable)
  • Order reference ID (if applicable)
• A clear description of your complaint, specifying any inconsistency with the provided service.

Email Submission

Send an email to the customer support address available on the Vignetim Platform. Include the same required details as for the webform.

Response Timeline

• Vignetim will provide a reasoned response within 15 days of receiving the complaint.
• If additional time is required, users will be notified within 15 days, and a final response will be provided within 90 days of the complaint's receipt.

Conciliation Procedure

• Vignetim has not partnered with specific dispute resolution bodies. Users may access the European Commission's online dispute resolution platform at https://ec.europa.eu/consumers/odr to select an appropriate body for mediation.
• Any disputes arising from eSIM services shall be addressed initially through Vignetim's customer support. If unresolved, matters will be referred to Airalo as per their dispute resolution policies.

Indemnification

You agree to defend, indemnify, and hold Vignetim, its affiliates, and any third parties offering products or services through the Vignetim Platform harmless from and against any and all suits, actions, claims, proceedings, damages, settlements, judgments, injuries, liabilities, obligations, losses, risks, costs, and expenses (including reasonable attorneys' fees and litigation expenses) arising from or relating to:

• Your intentional or negligent misrepresentation, act, or omission in connection with your use of the Vignetim Platform.
• Your violation of applicable laws or regulations.
• Your breach of these Terms or your violation of any rights of another person or entity.
• Claims asserted by third parties arising from your use of the Vignetim Platform, which result from intentional or negligent actions.

Vignetim reserves the right to control the defense of any claim subject to indemnification under this section, and you agree to provide all necessary cooperation as reasonably requested.

Severability

If any provision of this Agreement is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be deemed modified to the minimum extent necessary to make it enforceable. If such modification is not possible, the relevant provision shall be deemed severed from this Agreement. The remaining provisions shall continue in full force and effect.

No Waiver

The failure or delay by either party to exercise any right or remedy provided under this Agreement or by law shall not constitute a waiver of that or any other right or remedy, nor shall it preclude or restrict further exercise of that or any other right or remedy. A waiver shall only be effective if it is in writing and signed by the party granting it.

Assignment

You may not assign, transfer, or delegate any of your rights or obligations under this Agreement without the prior written consent of Vignetim. Any unauthorized assignment or delegation by you is null and void. Vignetim reserves the right to assign or transfer its rights and obligations under this Agreement without restriction and without notifying you, provided such assignment does not adversely affect your rights under this Agreement.

Updates to the Agreement

Vignetim reserves the right to modify or update this Agreement at its sole discretion. In the event of any material changes, Vignetim will notify you by posting the updated Agreement on the Vignetim Platform and indicating the date of the latest revision. It is your responsibility to review this Agreement periodically. Continued use of the Vignetim Platform following the posting of changes constitutes your acceptance of such changes.

Language and Governing Version

In the event of any inconsistency or discrepancy between the English version of this Agreement and any translation thereof, the English version shall prevail and be the governing document.

Governing Law

This Agreement is governed by and construed in accordance with the laws of European Union, without regard to its conflict of law principles. Any disputes arising from or related to this Agreement shall be subject to the exclusive jurisdiction of the competent courts in Turkiye, unless otherwise mandated by applicable EU consumer protection laws.

Electronic Communications

When you access or use the Vignetim Platform or send emails, chat messages, or SMS messages to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you via email, SMS, or through the Vignetim Platform.

You agree that all agreements, notices, disclosures, and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. You further agree that any notices provided by us electronically are deemed to be given and received on the date we transmit any such electronic communication as described in this Agreement.

Force Majeure

Vignetim shall not be responsible or liable for failure or delay in carrying out the terms of this Agreement resulting from any cause or circumstance beyond Vignetim's reasonable control, including but not limited to:

• Fire, flood, or other natural disasters.
• Acts of war or terrorist actions.
• Labour conflicts or industrial disputes.
• Failure, disruption, or delay in telephone, Internet, or other communication networks.
• Restrictions in general traffic or transportation.
• Accidents, explosions, or disturbances.
• Legislation or measures taken by governmental authorities.
